Velour Web Website and Growth Agreement

Version v1.5-2026-10-25 · One agreement for all clients.

One plan. Every client gets the Website (Part A) and Growth (SEO, Part B), on the same terms.

Key Terms Disclosure

Read this summary before you sign. It is part of the Agreement. If it conflicts with the numbered sections, the numbered sections control.

Website

Due today: $600 for your website, launched within 1–2 business days after we receive all your Assets, plus hosting for the first year. Launch means your site is live over HTTPS at your domain (or at a Velour Web address until your domain is connected), with the agreed pages, a working contact form and pages that work on mobile. Full refund if we do not launch within 14 days after receiving all your Assets. No refund after launch.
Included: Design, writing, build and launch of up to 10 pages; hosting, SSL, backups and monitoring; small edits of up to 30 minutes a month.
After year 1: Hosting is free while Growth is active. Otherwise $50 a month, charged once a month, one month at a time. We email you 15 to 45 days before the first $50 charge, with a link to cancel. No minimum term.
What you own: Your domain, the content you supply and your lead data. You may reuse the text we wrote from your interview.
What we own: The platform, code, design and templates, and the Growth pages. No buyout.

Growth (SEO)

Free Start: Growth starts at launch and costs nothing until your leads grow: any 30-day period after your first 30 days with at least 3 more qualified leads than those first 30 days (3 leads if they had none).
No growth by day 180: Growth ends and nothing is owed. Your website stays live, with hosting included until the first anniversary of launch.
Billing notice: When your leads grow we email you the list of those leads. Billing starts 30 days after that notice. Until then you can dispute any listed lead from your dashboard, or stop and pay nothing; the Growth pages turn off.
Price: Starts at $549 a month, charged once a month, one month at a time, until you cancel. No commitment and no exit fee.
Cancelling: Cancel any time; Growth ends at the end of the paid month. No fee and nothing more to pay.
Price reviews: Every 6 months we compute 5% of the estimated value of your leads (your average monthly leads over the last 3 full months × booking rate × typical job, from our published industry table) and take the highest step of $549 / $1,000 / $1,500 / $2,000 / $3,000 / $5,000 that is not above it, moving one step at a time. Any increase is emailed with every number at least 30 days before it applies, and you can cancel before then. Decreases apply automatically from the next billing cycle.
Flagging leads: You can flag spam and existing customers. If you flag more than 40% of your leads in 30 days (at least 3), we review those flags within 5 business days; until then, and if we don't decide in time, those leads don't count. Real inquiries count again.
Your area: Your trade in the cities we confirm with you by email after sign-up (up to 10), exclusive while Growth is active.
Calls: We count calls to your tracking number. We never record them.

Parties and Effective Date

This Website and Growth Agreement (the "Agreement") is between Velour Web, Velour Web LLC, 109 Oak Ave, Carlsbad, CA ("Velour Web," "we" or "us"), and the business named at checkout ("Client" or "you"), acting through the person who completes the checkout, identified by the name and email entered there. It is effective on the date Client accepts it electronically (the "Effective Date").

Client receives both the Website (Part A) and Growth (Part B). Part C applies to both.

1. Definitions

1.1 "Assets" means Client's logo, photographs, list of services and prices, and either Client-written page text or Client's participation in one interview of up to 30 minutes.

1.2 "Client Content" means all text, images, logos, testimonials, reviews, credentials and other material Client supplies.

1.3 "Core Site" means the home, services, about, gallery and contact pages of Client's website, up to 10 pages, as listed in the page map Velour Web sends before launch.

1.4 "Growth" means the search marketing services in Schedule 1.

1.5 "Growth Pages" means the pages Velour Web creates as part of Growth, with the forms, tracking numbers and lead routing on them.

1.6 "Billing Notice" means the email described in Section 7.1 that lists the Qualified Leads that met the trigger.

1.7 "Launch Date" means the date the Core Site is publicly reachable over HTTPS at Client's domain (or at a Velour Web address until Client's domain is connected), with the pages in the page map published, the contact form delivering inquiries to Client, and the pages usable on mobile.

1.8 "Lead Data" means the names, contact details, messages and history of inquiries received through the Core Site, the Growth Pages or a Velour Web tracking number.

1.9 "Platform" means Velour Web's proprietary website software, hosting environment, code, design system, templates and dashboard.

1.10 "Qualified Lead" has the meaning in Section 6.1.

1.11 "Territory" means the cities or ZIP codes (at most 10) that Velour Web confirms to Client by email after sign-up and before the Launch Date, limited to the named cities or ZIP codes, and never a whole metropolitan area unless expressly named.

1.12 "Trade" means Client's main service as Velour Web confirms it to Client by email with the Territory: a business whose main service is the one named. A business whose main service is something else is not in the Trade, even if it also offers that service. For law firms, the Trade is one practice area; for medical and dental practices, one specialty.

Part A — Website

2. Website Services

2.1 Core Site. Velour Web will design, write (from the Assets), build and launch the Core Site on the Platform, using commercially reasonable efforts to launch within 1–2 business days after receiving all Assets and Client's approval. Services include hosting, SSL, backups and uptime monitoring.

2.2 Minor edits. While hosting is paid or included, Velour Web will make minor edits of up to 30 minutes per month: changes to text, hours, prices or photographs on existing pages. No new pages, features or redesign. Unused time does not carry over.

2.3 Client cooperation. Client will provide the Assets, timely approvals and reasonable access (for example, domain DNS). Delays caused by Client do not breach this Agreement and do not reduce the fees.

3. Client Approval

3.1 Before launch. Velour Web will send Client the Core Site for review. Client will approve or comment within 10 days. If Client does neither within 10 days, Velour Web may launch the Core Site as sent, except that it will not publish any claim about Client's services, results, credentials, pricing or specialties that Client has not approved.

3.2 Refund clock paused. The 14-day refund period in Section 4.1 is paused while Velour Web is waiting for Client's approval or missing Assets.

3.3 Responsibility. By approving content, Client confirms it is accurate and complies with the rules of Client's profession.

4. Website Fees and Hosting

4.1 Setup fee. Client will pay $600 on the Effective Date for the Core Site and 12 months of hosting from the Launch Date. If the Launch Date (Section 1.7) has not occurred within 14 days after Velour Web receives all Assets (excluding time paused under Section 3.2), Client may cancel by email before the Launch Date for a full refund. After the Launch Date, the setup fee is non-refundable.

4.2 Hosting after year one. From the first anniversary of the Launch Date, hosting is included at no charge in any month Growth is active (in Free Start or paid). In any other month, hosting is $50, charged once a month to the saved card, one month at a time. No hosting fee is charged for a month in which a Growth fee is paid.

4.3 Hosting renewal notice. At least 15 and no more than 45 days before the first $50 hosting charge, Velour Web will email Client the amount, the date and a link to cancel. Hosting has no minimum term.

4.4 Hosting price changes. Velour Web may change the hosting fee with at least 30 days' email notice. Client may cancel before the change takes effect, and it will not apply.

4.5 Taxes. Fees exclude applicable sales, use and similar taxes, which Client will pay if required by law.

4.6 No buyout. The Platform is never sold or transferred to Client.

Part B — Growth (SEO)

5. Growth Services

5.1 Services. Beginning on the Launch Date, Velour Web will perform the Growth services in Schedule 1.

5.2 No call recording. Tracking numbers forward and count calls only. Velour Web does not record, transcribe or monitor call content. It logs only the calling number, time and length of each call.

6. Free Start and Lead Trigger

6.1 Qualified Lead. A form submitted through the Core Site or a Growth Page with a working phone number or email, or a call of 60 seconds or more to a Velour Web tracking number. Until call tracking is connected, only forms count. The same phone number or email counts once in any 90 days.

6.2 Not counted. Inquiries that do not come through Velour Web's pages, forms or tracking numbers, such as referrals, calls to Client's own number or social media messages.

6.3 Flagging. Within 7 days after each lead (and, for a lead listed in a Billing Notice, until the charge date under Section 7.1), Client may flag it on the dashboard as spam, a wrong number, a sales pitch or an existing customer, with a reason. A flagged lead leaves the count for the trigger and for price reviews, subject to Section 6.3A. Every flag is logged on the dashboard.

6.3A Flag review. If Client flags more than 40% of its leads in any rolling 30-day period (and at least 3 leads), the flags in that period go to review and are marked pending on the dashboard. Velour Web will review each pending flag within 5 business days against the form data and the call logs (calling number, time and length). While a flag is pending, the lead does not count; a flag that is not resolved within 5 business days stays in Client's favor, and the lead does not count. Leads that Velour Web finds, within that time, to be genuine inquiries about Client's services count again. Velour Web will show each result, the date and the reason on the dashboard. Flagging genuine inquiries to avoid fees is a material breach.

6.4 Baseline. Client's Qualified Leads received on days 1 to 30 after the Launch Date (the Launch Date is day 1). The baseline may be zero. It is fixed once the 7-day flagging window of its last lead has closed.

6.5 Trigger. The trigger is met when any rolling 30-day period that starts on or after day 31 has at least the baseline plus 3 Qualified Leads (3 Qualified Leads if the baseline is zero), counting only leads past their 7-day flagging window. Every such period is checked, and none overlaps the baseline period. Only leads received on or before day 173 after the Launch Date can meet the trigger, so their 7-day flagging window closes by day 180.

6.6 Free Start. Growth is free until the trigger is met and the first charge date in the Billing Notice arrives (Section 7.1).

6.7 No trigger by day 180. If the trigger is not met by day 180 after the Launch Date, Growth ends automatically, nothing is owed for it, and Section 15 applies. The Core Site stays live, with hosting included until the first anniversary of the Launch Date.

6.8 Re-check. The trigger is checked again on the charge date, counting only the leads that still stand; a flag still pending review under Section 6.3A counts in Client's favor. If flags or disputes bring the count below the trigger, the charge is cancelled, the Billing Notice is withdrawn by email and Free Start continues, subject to Section 6.7.

7. Growth Billing, Automatic Charges and Term

7.1 Billing notice. When the trigger is met, Velour Web will email Client a Billing Notice listing the Qualified Leads that met the trigger (date, source and contact), the price, the first charge date, which is 30 days after the Billing Notice, and a link to stop. Client may dispute any listed lead from the dashboard until the charge date, even after its 7-day flagging window; a disputed lead leaves the count and the re-check in Section 6.8 applies (Section 6.3A still applies). If Client stops before the charge date, nothing is charged, the Growth Pages turn off and Growth ends under Section 15.

7.2 Consent. By checking the consent box and signing, Client authorizes Velour Web to charge the saved card the Growth fee once each month, starting at $549, from the charge date in the Billing Notice until Client cancels. Each monthly charge covers one month; no more than one month is ever charged at a time. The fee may change only under Section 8.

7.3 Term. There is no minimum term and no commitment. Growth is billed monthly from the first charge until Client cancels (Section 10).

8. Price Reviews

8.1 Formula. After every 6 months of paid Growth, Velour Web will recalculate the price. It first computes X = Client's average monthly Qualified Leads over the last 3 full calendar months (counting only leads that stand after flags) × the typical booking rate for Client's industry × the typical job value for Client's industry × 5%. Both rates come from the version of Velour Web's published industry table stated in the review email (never from Client's own books).

8.2 Steps. The new step is the highest of $549, $1,000, $1,500, $2,000, $3,000 and $5,000 that is not above X, so any X under $1,000 gives $549. The price moves at most one step up or down from the current price per review, and is never below $549 or above $5,000. The review email shows every number needed to reproduce the result. Examples:

(a) 11 Qualified Leads a month × 40% × $4,000 × 5% = X of $880: the new step is $549.

(b) 20 Qualified Leads a month × 30% × $4,000 × 5% = X of $1,200: the new step is $1,000.

(c) 34 Qualified Leads a month × 50% × $4,000 × 5% = X of $3,400, with a current price of $1,000: the highest step not above X is $3,000, but the price moves one step, to $1,500.

8.3 Increases. If the formula produces a higher step, the new price applies only after Velour Web emails Client the calculation and the leads behind it at least 30 days before it takes effect. Client may cancel Growth at any time; if Client cancels before that date, the increase never applies and Growth ends at the end of the current paid month.

8.4 Decreases. If the formula produces a lower step, the new price applies automatically from the next billing cycle, with email notice. The price never goes below $549.

9. Industry Table

9.1 Published table. The typical booking rate and typical job value for each industry will be published, with its version, before any price review uses it, at velourweb.com/industries.

9.2 Changes. Velour Web may update the table. An update applies only from the next price review and never changes a price already in effect. Velour Web keeps every version of the table, and each review email states the version and the values used.

9.3 Nature of the fee. The Growth fee is compensation for the services in Schedule 1. It is not a fee for any particular referral or transaction, and Velour Web does not sell, refer or recommend any particular customer to Client.

Part C — Terms for both plans

10. Cancellation

10.1 At a Billing Notice. Client may stop before the first charge; nothing is charged.

10.2 Any time. Client may cancel Growth at any time from the link in any billing email or by email, including before a new price takes effect (Section 8.3). Growth ends at the end of the current paid month. There is no minimum term, no commitment and no early-exit fee, and nothing more is owed for Growth. No partial-month refunds.

10.3 Hosting. Client may cancel hosting at any time in the same way. Hosting ends at the end of the paid month (Section 15.2).

10.4 Online cancellation. Velour Web will always provide an online cancellation method at least as easy as sign-up.

11. Exclusivity

11.1 Commitment. From the date Velour Web confirms the Territory by email, and while Growth is active (Free Start or paid), Velour Web will not provide Growth or any other paid SEO or lead-generation service to another business in Client's Trade in the Territory.

11.2 Permitted work. Velour Web may build or host a website, without SEO or lead-generation services, for any other business.

11.3 Prior clients. This Section does not apply to businesses Velour Web served under agreements signed before the Effective Date.

11.4 End. Exclusivity ends automatically when Growth ends.

11.5 Not a referral network. Exclusivity concerns only Velour Web's own marketing services. It creates no referral relationship and no arrangement to steer any customer, patient or client to Client.

12. Leads

12.1 Delivery. Inquiries through the Core Site, Growth Pages and tracking numbers are forwarded to Client and shown on the dashboard. After Growth ends, inquiries through the Core Site's forms are forwarded to Client by email only.

12.2 No referral or selection. Velour Web does not sell, share, price, screen, refer or recommend any particular customer, patient or client to Client, and receives nothing of value from any third party for doing so. Client alone decides whom to serve.

13. Non-Payment

13.1 Retries and suspension. If a charge fails, Velour Web will retry the card and email Client. Client has 14 days to update payment. If not cured by day 14, Velour Web may suspend Growth and take the Core Site offline.

13.2 Termination. If not cured by day 30, Velour Web may terminate this Agreement by email. On termination: (a) the past-due amounts become due, and nothing else; (b) Velour Web performs no further services; and (c) the Territory is released and Section 15 applies.

13.3 Collection costs. Client will reimburse Velour Web's reasonable costs of collecting overdue amounts, including reasonable attorneys' fees, to the extent permitted by law.

14. Ownership and Licence

14.1 Ownership table.

Domain · Client, registered in Client's name; Velour Web holds DNS access only · Client's · Client's. Never held or redirected by Velour Web.
Client Content · Client · Client's · Returned on request
Lead Data · Client · Full export · Full export
Platform (code, design system, templates, dashboard) · Velour Web · Retained · Retained

Growth Pages · Velour Web, licensed to Client while Growth is active · Turned off · Turned off
Exclusive Territory · Held for Client while Growth is active · Released · Released

14.2 Licences. Velour Web licenses the Core Site to Client while hosting is paid or included, and the Growth Pages and dashboard while Growth is active. Client licenses Client Content to Velour Web solely to perform this Agreement.

14.3 Interview text. After termination, Client may reuse on another website the text of the Core Site pages written from Client's interview. Client receives the text, not the code, layout, design or templates, and not the Growth Pages.

14.4 Archive. On request within 60 days after Growth or hosting ends, Velour Web will provide a PDF or HTML archive of the pages as last published.

15. When Growth or Hosting Ends

15.1 When Growth ends (no trigger by day 180, a stop at a notice, cancellation (at the end of the paid month), or termination), in this order: (a) Growth Pages return HTTP 410 ("gone") and leave the sitemap; (b) forms, tracking numbers and lead routing on them stop; (c) the dashboard becomes read-only with a full Lead Data export; (d) the Territory is released; (e) the Core Site stays live, free until the first anniversary of the Launch Date and then under Section 4.2; and (f) Velour Web emails Client what is off, the export and how to point the domain elsewhere.

15.2 When hosting ends, Velour Web takes the Core Site offline, stops its forms and emails Client the Lead Data export and domain instructions.

15.3 Search results. Search engines may show cached results for days or weeks; those visitors reach a "gone" page. Velour Web is not responsible for third-party caches.

16. Client Representations and Professional Compliance

16.1 Content rights. Client owns, or has permission to use and license, all Client Content.

16.2 Consent for photos and testimonials. Client holds written consent, in the form its profession and the law require, from every customer, patient or client shown or quoted in any photograph, before-and-after image, testimonial or review it supplies or approves.

16.3 Accuracy. All information Client gives about its business (licences, insurance, credentials, specialties, prices) is true and current.

16.4 Professional rules. Client is solely responsible for complying with the advertising, licensing, record-keeping and privacy rules of its profession, including any required disclaimers or labels.

16.5 Indemnity. Client will defend, indemnify and hold harmless Velour Web from third-party claims, losses and costs (including reasonable attorneys' fees) arising from Client Content, content Client approved, Client's breach of this Section 16, or Client's services to its customers.

17. Health and Sensitive Information

17.1 Forms. Forms collect contact details and a short message only. Client will not request forms that ask for health, financial account, government ID or other sensitive information.

17.2 No business associate relationship. Velour Web does not sign HIPAA business associate agreements unless the Parties sign one separately, which may carry an additional fee. If Client is a HIPAA covered entity, Client is responsible for deciding whether its use of the services complies with HIPAA.

18. Data

18.1 Lead Data. Lead Data belongs to Client. Client can export it from the dashboard or on request at any time and at the end of this Agreement.

18.2 Use. Velour Web uses Lead Data only to perform this Agreement and does not sell or share it, except with service providers bound by confidentiality who help run the Platform. Velour Web may use aggregated, de-identified statistics (including for its industry table) that do not identify Client or any person.

18.3 Privacy and retention. Velour Web's privacy policy is at velourweb.com/privacy. Velour Web may delete Lead Data 90 days after hosting ends, after emailing Client an export link.

19. Disclaimers and Limitation of Liability

19.1 No guarantee. Velour Web does not guarantee search rankings, placement in AI answers, traffic, or any number of leads or bookings.

19.2 Disclaimer. Except as expressly stated, the services are provided "as is," and Velour Web disclaims all implied warranties to the extent permitted by law.

19.3 Cap. Each Party's total liability under this Agreement will not exceed the fees Client paid Velour Web in the 12 months before the event giving rise to the claim.

19.4 Excluded damages. Neither Party is liable for lost profits or indirect, incidental, special, consequential or punitive damages.

19.5 Exceptions. Sections 19.3 and 19.4 do not limit Client's payment obligations, Section 16.5, or liability for fraud or wilful misconduct.

20. Termination for Cause

20.1 By Velour Web. Velour Web may suspend or terminate this Agreement immediately by email if Client: (a) uses the site for anything unlawful or deceptive; (b) abuses Velour Web's staff; (c) files a chargeback for a charge this Agreement allows; (d) materially breaches this Agreement and does not cure within 10 days after email notice. Section 13.2 then applies to amounts owed, and Section 15 applies.

20.2 By Client. Client may terminate by email if Velour Web materially breaches this Agreement and does not cure within 30 days after Client's email notice. No further payments are then due, and Velour Web will refund any fee paid for the current month.

20.3 Survival. Sections 4.5, 13.2, 13.3, 14, 15, 16, 18, 19, 21 and 22 survive termination.

21. Governing Law and Disputes

21.1 Law. California law governs this Agreement.

21.2 Informal resolution. Before filing a claim, the claiming Party will email the other and the Parties will try to resolve it for 30 days. This does not apply to collecting amounts due or to urgent injunctive relief.

21.3 Venue. Unresolved claims go exclusively to the state or federal courts in San Diego County, California. Either Party may use small claims court at any time.

22. General Provisions

22.1 Entire agreement. This Agreement, including the Key Terms Disclosure and Schedule 1, is the entire agreement on its subject. The numbered sections control over Schedule 1, and both control over the Key Terms Disclosure.

22.2 Amendments. Changes must be in writing and accepted by both Parties, including by email or electronic acceptance, except fee changes made as this Agreement allows.

22.3 Assignment. Client may not assign this Agreement without Velour Web's written consent. Velour Web may assign it to an affiliate or successor on email notice.

22.4 Relationship. The Parties are independent contractors. Nothing here creates a partnership, agency, employment or referral relationship.

22.5 Force majeure. Neither Party is liable for delays caused by events beyond its reasonable control, including outages of hosting, search or AI providers, other than payment obligations.

22.6 Subcontractors. Velour Web may use subcontractors and remains responsible for their work.

22.7 Severability and waiver. An unenforceable provision is enforced to the extent permitted and the rest remains in effect. Failure to enforce is not a waiver.

22.8 Notices. Notices are given by email to the addresses in this Agreement and are effective when sent unless the sender receives a delivery failure.

22.9 Electronic acceptance. Checking the consent box and clicking the button to pay is Client's electronic signature and acceptance of this Agreement. Velour Web stores the agreement text, version, a hash of the text, the name, business and email entered at checkout, the consents, the IP address and the date and time of acceptance, and emails Client a copy. These acceptance records are kept for at least 4 years after the Agreement ends and are never deleted with Lead Data.

22.10 Prior agreements. Clients who signed before the effective date of this version keep the terms of their signed agreement.

Schedule 1 — Growth Deliverables

While Growth is active, Velour Web will each month:

1. Create at least 4 new or substantially updated Growth Pages for Client's Trade and Territory (service, city, venue or question pages). Each Growth Page is original, written for a real search need in Client's Trade and Territory, and is never a copy of another page with only the city or keyword changed. "Substantially updated" means at least 300 new words, or a new section answering a new question.
2. Keep call tracking (counting only, no recording), form tracking and the lead dashboard live, subject to normal maintenance and third-party outages.
3. Email Client a monthly report: pages added, leads received and the price-review numbers.

Velour Web may change the methods it uses, provided the deliverables above are not reduced. Velour Web does not guarantee that any page is indexed or ranks.
